SAFE & Seed Financing Support

A post-money SAFE is five pages long and most of them are standard. The decisions that matter are in the blanks—valuation cap, discount, whether there is a side letter—and in what the document does not say: how several SAFEs stack, what the pool looks like after conversion, and what you have promised the lead that the next investor will ask for too. We help founders close seed rounds with eyes open.

HOW WE HELP

Where we add value

01

The economics

Caps, discounts and most-favored-nation clauses, modeled against the round you expect next so you can see the real dilution before you sign.

02

Side letters and rights

Pro rata rights, information rights, board observer seats and major-investor thresholds. Each is reasonable alone; together they shape the next round.

03

Securities compliance

Accredited-investor verification, the exemption relied on, Form D and state notice filings, and the representations investors make. Routine when done, costly when skipped.

04

Closing

Board and stockholder approvals, a closing checklist, signature pages and an updated cap table that reflects every instrument outstanding.

OUR APPROACH

How we work with founders

01

Read

Understand the instruments and terms on the table.

02

Model

Run the conversion math across all instruments and the expected next round.

03

Close

Negotiate what needs negotiating, obtain approvals and close with clean records.

COMMON QUESTIONS

Founder questions

Practical answers to frequently asked questions. Individual circumstances can affect the best course of action.

Is a SAFE equity?+
Not yet. It is a contract to issue shares when a priced round or other trigger occurs. Until then the investor holds a right, not stock, and the cap table has to track it carefully.
The investor sent the standard Y Combinator form. Do I still need a lawyer?+
The form is fine. The number in the cap, the side letter that came with it, your securities filings and your board approvals are not in the form. That is usually where the work is.
Can non-U.S. investors invest through a SAFE?+
Yes. There are additional considerations—securities law in their jurisdiction, tax withholding and, for some investors and industries, U.S. foreign-investment rules—that we flag early.
